MSA

Master services agreement

An agreement setting terms that can govern subsequent orders or services within its defined scope. A master services agreement provides the broader framework, while individual orders usually describe the particular purchase.

An example

An MSA sets general payment and confidentiality provisions. A later order identifies 100 licences, the subscription dates and fees. The reviewer reads both documents, including any clause that says which takes precedence.

What to check

Check applicability, amendments and document precedence. The label MSA does not make every later transaction automatically covered.

In practice

Keep the signed version and amendments together. Check parties, scope and applicable dates before reusing a term; a summary or an unsigned draft is not a substitute for the executed documents.
